Welcome to eateries.online.

These Terms and Conditions ("Terms") govern access to and use of the eateries.online platform, websites, applications, software, dashboards, tools, integrations and related services (collectively, the "Eateries Platform" or "Services").

eateries.online is a product and service of Premium eBusiness Solutions, together with its applicable affiliates, operating entities and authorised service providers ("PEBS", “eBizSols” "Eateries", "we", "us" or "our").

By accessing, registering for, subscribing to, purchasing through, or otherwise using the Eateries Platform, you agree to these Terms. If you do not agree to these Terms, you should not use the Services.

1. About Eateries

Eateries is a technology platform designed for restaurants, cafés, food businesses and other food and beverage operators.

Depending on the services, package, market and configuration available to a user or merchant, Eateries may provide functionality including:

  • restaurant and merchant management;

  • online ordering;

  • menu and product management;

  • order management;

  • point-of-sale and operational tools;

  • kitchen management;

  • dine-in and tableside operations;

  • delivery and driver management;

  • pickup and self-delivery management;

  • customer management;

  • reservations;

  • loyalty and rewards programmes;

  • vouchers, coupons and promotions;

  • customer engagement and marketing campaigns;

  • payment integrations;

  • reports and analytics;

  • merchant websites;

  • merchant-branded applications;

  • integrations with third-party systems; and

  • other digital services made available by Eateries from time to time.

Certain features may be provided through separate Eateries applications, merchant-branded applications, websites or connected services.

Availability of features may vary according to subscription package, merchant configuration, geography, device, integration or commercial arrangement.

2. Types of Users

These Terms may apply to different categories of users, including:

Customers: individuals using Eateries-powered services to browse menus, place orders, make reservations, participate in loyalty programmes or otherwise interact with merchants.

Merchants: restaurants, cafés, food businesses and other organisations subscribing to or operating through the Eateries Platform.

Merchant Personnel: owners, administrators, employees, kitchen staff, waiters, managers and other personnel authorised by a Merchant.

Drivers: individuals or organisations using Eateries delivery-management functionality where applicable.

Visitors: persons accessing Eateries websites or other publicly available services without registering.

Different functionality and additional commercial or contractual terms may apply to different categories of users.

3. Account Registration

Certain Services require an account.

You agree to provide accurate, complete and current information and to update that information where necessary.

You are responsible for:

  • maintaining the confidentiality of your login credentials;

  • activities performed through your account;

  • ensuring authorised users use the account appropriately; and

  • notifying us promptly if you become aware of unauthorised access or a security incident involving your account.

Merchants are responsible for managing access permissions for their personnel and ensuring that individuals accessing a Merchant account are appropriately authorised.

We may suspend or restrict accounts where we reasonably believe that an account is being misused, compromised or used in violation of these Terms.

4. Merchant Responsibilities

Merchants using Eateries remain independently responsible for their businesses, products, services and regulatory obligations.

Each Merchant is responsible for, as applicable:

  • maintaining accurate business and contact information;

  • menu descriptions, ingredients, prices and availability;

  • food preparation and quality;

  • allergen and dietary information;

  • licences, registrations, permits and approvals;

  • food safety and hygiene;

  • taxes and statutory charges;

  • fulfilment of customer orders;

  • refunds and cancellations for merchant-supplied products;

  • merchant personnel;

  • delivery operations undertaken by the Merchant;

  • customer service relating to the Merchant's products;

  • promotional claims and offers;

  • compliance with applicable consumer, food, employment, tax, marketing and other laws.

Eateries provides technology and operational infrastructure. Unless expressly stated otherwise for a particular service, Eateries does not manufacture, prepare or supply food sold by Merchants.

5. Orders and Transactions

When a Customer places an order with a Merchant through an Eateries-powered service, the Merchant is ordinarily the seller or supplier of the food, products or services purchased.

The Merchant is responsible for accepting, preparing and fulfilling the order.

Prices, taxes, delivery charges, service charges, minimum-order requirements and other transaction terms may vary by Merchant and location and should be displayed before completion of the transaction where applicable.

An order may be rejected, cancelled or modified where reasonably necessary, including because of product unavailability, incorrect pricing, payment failure, inability to fulfil the order, suspected fraud, technical errors or other legitimate operational reasons.

6. Payments

Payments may be processed using independent payment gateways, banks, financial institutions or other payment service providers.

Eateries does not necessarily receive or store complete payment-card credentials. Payment information may be transmitted directly to the relevant payment service provider.

Use of a third-party payment service may also be subject to that provider's terms and privacy practices.

Merchants are responsible for configuring authorised payment methods and maintaining any merchant accounts required by their chosen payment providers.

Transaction fees, payment-processing charges, refunds, chargebacks and settlement arrangements may be governed by the Merchant's subscription, commercial agreement and/or the applicable payment provider.

7. Subscriptions and Fees

Certain Eateries Services are offered on a paid subscription, licence, usage, transaction or add-on basis.

Applicable pricing, billing periods, usage allowances, features and other commercial terms may be displayed during registration, provided in a quotation, order form, subscription page or separate agreement.

Unless otherwise specified:

  • subscription charges may be billed in advance;

  • subscriptions may renew according to the agreed billing cycle;

  • upgrades, downgrades and additional services may affect charges;

  • applicable taxes may be added where required; and

  • failure to pay amounts when due may result in suspension or restriction of Services.

Merchant websites, branded applications, integrations, custom development, onboarding, maintenance or other additional services may be subject to separate charges and terms.

Where a separate written commercial agreement exists between eBizSols and a Merchant, that agreement will prevail over these Terms to the extent of any direct conflict concerning the relevant commercial service.

8. Cancellations and Refunds

Cancellation and refund rights may differ according to the nature of the transaction, subscription, Merchant policy and applicable law.

For food orders and Merchant transactions, the relevant Merchant's cancellation and refund rules may apply.

For Eateries subscriptions and other PEBS-provided services, cancellation and refund conditions may be specified in the applicable subscription plan, quotation, order form or commercial agreement.

Nothing in these Terms excludes any cancellation, refund or consumer right that cannot lawfully be excluded.

9. Delivery

Delivery may be performed by a Merchant's own personnel or drivers, or through an integrated third-party delivery provider where available.

Estimated preparation and delivery times are estimates and may be affected by traffic, weather, Merchant operations, demand, customer availability and other circumstances.

Where delivery is performed independently by a Merchant or third party, responsibility for the physical delivery service rests with that party to the extent permitted by applicable law.

10. Loyalty, Rewards, Coupons and Promotions

Eateries may enable Merchants to operate loyalty programmes, rewards, vouchers, coupons, discounts and promotional campaigns.

Eligibility, validity, redemption rules, expiry dates and other conditions may be established by the relevant Merchant or displayed with the applicable promotion.

Rewards, points, vouchers or promotional benefits:

  • generally have no cash value unless expressly stated;

  • may be subject to eligibility and redemption conditions;

  • may expire;

  • may not be transferable unless expressly permitted; and

  • may be cancelled or adjusted in cases of error, abuse or fraud.

Merchants are responsible for the legality and accuracy of promotions they create through the Platform.

11. Customer Communications and Marketing

Users may receive operational communications necessary to provide the Services, including order confirmations, account notifications, security notices and service updates.

Marketing communications may be sent where permitted by applicable law and based on appropriate consent or another lawful basis where required.

Users may unsubscribe from optional marketing communications through the methods provided in those communications or through available account settings.

12. User and Merchant Content

Users and Merchants may upload or provide content including logos, photographs, menus, product descriptions, reviews, promotional material, business information and other content ("User Content").

You retain ownership of rights you hold in your User Content.

By providing User Content to the Platform, you grant eBizSols a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, display, transmit and otherwise process that content as reasonably necessary to operate, provide, promote and improve the Services.

You represent that you have the rights and permissions necessary to provide such content and that its use through the Platform will not unlawfully infringe another person's intellectual property, privacy or other rights.

13. Reviews and User Contributions

Where reviews, ratings or other public contributions are supported, users must provide lawful and genuine content.

We may moderate, restrict or remove content that we reasonably believe is fraudulent, abusive, misleading, defamatory, unlawful, infringing, irrelevant, spam, manipulated or otherwise inappropriate.

We do not guarantee the accuracy of user-generated reviews or opinions.

14. Intellectual Property

The Eateries Platform, including its software, architecture, interfaces, databases, designs, graphics, trademarks, branding, documentation, applications and proprietary technology, is owned by or licensed to Premium eBusiness Solutions and is protected by applicable intellectual-property laws.

Except where expressly authorised, users may not:

  • copy or reproduce the Platform;

  • reverse engineer or attempt to derive source code;

  • circumvent security or access controls;

  • scrape or systematically extract Platform data;

  • resell or sublicense the Services;

  • create unauthorised derivative works;

  • use Eateries intellectual property in a misleading manner; or

  • interfere with the normal operation of the Platform.

No ownership of Eateries or PEBS intellectual property is transferred to users or Merchants under these Terms.

15. Acceptable Use

You must not use the Platform to:

  • violate applicable law;

  • commit or facilitate fraud;

  • impersonate another person or organisation;

  • distribute malware or harmful code;

  • gain unauthorised access to systems or accounts;

  • interfere with Platform security or performance;

  • upload unlawful or infringing material;

  • misuse customer or Merchant information;

  • send unlawful unsolicited communications;

  • manipulate orders, reviews, rewards or promotions; or

  • engage in conduct that materially harms Eateries, Merchants, Customers or other users.

16. Third-Party Services and Integrations

The Platform may integrate with or link to third-party services including payment gateways, mapping services, analytics providers, communications platforms, hosting providers, delivery services and other technology providers.

Third-party services are independently operated and may be subject to their own terms and privacy policies.

PEBS is not responsible for the availability, security, performance or conduct of an independent third-party service except to the extent required by applicable law or expressly agreed otherwise.

17. Availability and Changes to the Platform

We aim to provide reliable Services but do not guarantee uninterrupted or error-free availability.

Services may be temporarily unavailable due to maintenance, upgrades, infrastructure failures, internet disruption, third-party services, security incidents or circumstances beyond our reasonable control.

We may add, modify, replace or discontinue features where reasonably necessary for technical, commercial, legal, security or operational reasons.

18. Suspension and Termination

We may suspend, restrict or terminate access to the Services where reasonably necessary because of:

  • violation of these Terms;

  • non-payment;

  • fraudulent or unlawful activity;

  • security risks;

  • misuse of the Platform;

  • legal or regulatory requirements; or

  • conduct that threatens the Platform or its users.

Users may stop using the Services at any time, subject to applicable subscription, cancellation and contractual obligations.

19. Disclaimer

To the maximum extent permitted by applicable law, the Services are provided on an "as available" basis.

eBizSols does not warrant that every feature will be continuously available or that the Platform will be completely free from errors, interruptions or security vulnerabilities.

Information supplied by Merchants, Customers and other third parties remains the responsibility of the party supplying that information.

Nothing in these Terms limits warranties or rights that cannot legally be excluded.

20. Limitation of Liability

To the maximum extent permitted by applicable law, PEBS and its affiliates will not be liable for indirect, incidental, consequential, special, exemplary or punitive losses arising from use of the Services, including loss of profits, revenue, goodwill, business opportunities or data, except where such liability cannot lawfully be excluded.

PEBS is not responsible for the acts or omissions of independent Merchants, Customers, drivers, payment processors or other third-party providers.

Where liability cannot be excluded, it will be limited only to the extent permitted by applicable law.

Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by law.

21. Privacy and Data Protection

Use of personal information through Eateries is governed by our Privacy Policy and applicable data-protection and privacy requirements.

Merchants using Eateries to process their own customer or employee information may have independent legal responsibilities concerning that information.

22. International Use

Eateries may be made available in multiple countries and territories.

Users and Merchants are responsible for complying with laws applicable to their use of the Services and their own activities.

Certain functionality, payment methods, pricing, taxes, consumer rights or operational requirements may vary by jurisdiction.

Nothing in these Terms is intended to override any mandatory rights or protections available under applicable law.

23. Governing Terms and Applicable Law

These Terms are intended to operate internationally.

The laws and mandatory legal requirements applicable to a particular relationship or transaction may depend on factors including the user's or Merchant's location, the location where Services are provided, the relevant eBizSols contracting entity and any separate commercial agreement.

Where a separate agreement specifies governing law, jurisdiction or dispute-resolution procedures, those provisions will apply to that agreement.

Nothing in these Terms excludes the application of mandatory laws or rights that cannot lawfully be waived.

24. Changes to These Terms

We may update these Terms periodically to reflect changes to our Services, business practices, technology or legal requirements.

The revised Terms will be published with an updated "Last Updated" date.

Where appropriate or legally required, we may provide additional notice of material changes.

Continued use of the Services after updated Terms become effective constitutes acceptance of those Terms to the extent permitted by applicable law.

25. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the fullest extent permitted by law.

Premium eBusiness Solutions ("PEBS", “eBizSols”, "Eateries", "we", "us" or "our") provides and operates eateries.online and its associated websites, applications, software, dashboards and digital services (collectively, the "Eateries Platform" or "Services").

This Privacy Policy explains how personal information may be collected, used, stored, shared and protected when you interact with Eateries.

It applies, as relevant, to Customers, Merchants, Merchant personnel, drivers, website visitors and other users of the Eateries Platform.

1. Scope of This Privacy Policy

This Privacy Policy applies to personal information processed through eateries-operated services, including:

  • eateries.online;

  • Eateries merchant and operational applications;

  • customer-ordering applications;

  • kitchen applications;

  • delivery and driver applications;

  • tableside and restaurant-service applications;

  • Merchant dashboards;

  • Eateries-powered merchant websites and applications where PEBS provides the underlying technology;

  • customer-support channels; and

  • related Eateries services and integrations.

A Merchant using Eateries may independently determine how it collects and uses information concerning its Customers, personnel and business operations. In such circumstances, the Merchant may have its own privacy obligations and privacy notice.

2. Our Role and Merchant Responsibilities

The role played by PEBS in relation to personal information depends on the circumstances.

For information collected to operate Eateries accounts, subscriptions, Platform security, PEBS communications and our own business operations, eBizSols may determine the purposes and means of processing.

Where a Merchant uses Eateries to collect or manage information concerning its Customers, employees, drivers or other individuals for the Merchant's own business purposes, the Merchant may determine the purposes of that processing and eBizSols may process the information on the Merchant's behalf as a technology service provider.

In some circumstances, eBizSols and a Merchant may each have separate responsibilities for different processing activities.

Merchants are responsible for ensuring that their use of personal information through Eateries complies with privacy and data-protection requirements applicable to them.

3. Information We May Collect

Depending on how you use Eateries, we may process the following categories of information.

Account and Identity Information

This may include:

  • name;

  • username;

  • account identifier;

  • profile information;

  • business role;

  • Merchant affiliation; and

  • authentication and account-security information.

Contact Information

This may include:

  • email address;

  • telephone or mobile number;

  • delivery or contact address; and

  • other contact details supplied by you.

Merchant and Business Information

For Merchant accounts, we may process information including:

  • business name;

  • business contact information;

  • restaurant or outlet information;

  • authorised representatives;

  • Merchant personnel;

  • subscription information;

  • billing information;

  • business settings; and

  • operational configuration.

Order and Transaction Information

When you place or manage an order, information may include:

  • Merchant;

Complete payment-card details may be collected and processed directly by the relevant payment provider rather than stored by Eateries.

Delivery and Location Information

  • approximate or precise location where enabled and permitted;

  • pickup and delivery status; and

  • driver location during active delivery operations where applicable.

  • from delivery or logistics providers;

  • from integrated third-party services;

  • from Merchant systems connected to Eateries; or

  • where otherwise permitted by applicable law.

5. How We Use Information

Providing the Services

To:

  • create and maintain accounts;

  • process and manage orders;

  • facilitate payments;

  • support delivery;

  • manage reservations;

  • operate loyalty programmes;

  • apply vouchers and promotions;

  • provide Merchant operational tools;

  • deliver other requested Platform functionality.

Operating Merchant Services

To support Merchants with:

  • order management;

  • customer management;

  • restaurant operations;

  • inventory;

  • delivery;

  • kitchen operations;

  • reporting;

  • loyalty;

  • promotions;

  • analytics; and

  • other subscribed functionality.

Security and Fraud Prevention

To:

  • authenticate users;

  • detect suspicious activity;

  • prevent fraud;

  • investigate misuse;

  • protect accounts;

  • maintain Platform security; and

  • enforce our Terms.

Communications

To send:

  • order notifications;

  • account communications;

  • service announcements;

  • security alerts;

  • support responses;

  • subscription communications; and

  • other operational messages.

Marketing and Customer Engagement

Where permitted, information may be used to provide or facilitate:

  • promotional communications;

  • Merchant offers;

  • loyalty communications;

  • campaigns;

  • product announcements; and

  • relevant marketing.

Where required, marketing will be based on appropriate consent or another lawful basis, and users may withdraw or manage marketing preferences.

We may analyse Platform usage to:

Customer information may be provided to the relevant Merchant to fulfil orders, provide services, administer loyalty programmes, handle customer support and manage the customer relationship.

Service Providers

We may use service providers for functions including:

  • cloud infrastructure and hosting;

  • payment processing;

  • communications;

  • email or messaging;

  • analytics;

  • security;

  • mapping and location;

  • application services;

  • technical support; and

  • other infrastructure required to operate Eateries.

These providers may process information only as appropriate for their services and subject to applicable contractual and legal requirements.

Delivery Providers and Drivers

Information necessary to complete delivery may be shared with authorised drivers, Merchant delivery personnel or integrated delivery providers.

Payment Providers

Transaction information may be exchanged with banks, payment gateways and other financial service providers to process payments, refunds and related transactions.

Professional Advisers and Authorities

Information may be disclosed where reasonably necessary to:

  • comply with applicable law or valid legal process;

  • respond to lawful requests from competent authorities;

  • establish, exercise or defend legal claims;

  • investigate fraud or security incidents;

  • protect users or the public; or

  • obtain professional legal, accounting, audit or insurance services.

Business Transactions

If PEBS or an applicable business, service or asset is involved in a merger, acquisition, financing, restructuring or sale, relevant information may be transferred as part of that transaction subject to appropriate safeguards and applicable law.

8. International Data Processing and Transfers

Eateries is designed to operate internationally.

Personal information may therefore be processed, hosted or accessed in countries other than the country in which a user or Merchant is located.

Where international transfers are subject to legal restrictions, we will use appropriate mechanisms or safeguards required by applicable data-protection law.

The privacy and data-protection rules of the country in which information is processed may differ from those of your home jurisdiction.

9. Cookies and Similar Technologies

Eateries websites and applications may use cookies, local storage, software development kits, pixels and similar technologies.

These technologies may be used for:

  • authentication;

  • session management;

  • preferences;

  • security;

  • Platform functionality;

  • performance measurement;

  • analytics; and

  • marketing where permitted.

Where required by applicable law, users will be provided with appropriate choices regarding non-essential cookies or similar technologies.

Browser and device settings may also allow users to control certain technologies, although disabling essential technologies may affect Platform functionality.

10. Analytics

We may use analytics technologies and third-party analytics providers to understand Platform usage, measure performance and improve our Services.

Where required, analytics technologies will operate subject to applicable consent requirements.

11. Marketing Communications

We or participating Merchants may send marketing communications where permitted by applicable law.

You can generally opt out of optional electronic marketing by:

  • using the unsubscribe mechanism provided in the communication;

  • adjusting available account preferences; or

  • contacting the relevant sender.

Opting out of marketing does not prevent necessary transactional or service communications, such as order confirmations, account notices or security messages.

12. Data Retention

We retain personal information only for as long as reasonably necessary for the purposes for which it was collected, including:

  • providing Services;

  • maintaining accounts;

  • completing transactions;

  • supporting Merchant operations;

  • meeting accounting or tax requirements;

  • resolving disputes;

  • preventing fraud;

  • maintaining security;

  • enforcing agreements; and

  • complying with applicable legal obligations.

Retention periods may vary according to the type of information, Merchant requirements, contractual obligations and applicable law.

Information may be deleted, anonymised or aggregated when it is no longer reasonably required.

13. Data Security

We use reasonable administrative, organisational and technical measures designed to protect information against unauthorised access, alteration, disclosure, loss or destruction.

Measures may include, where appropriate:

  • access controls;

  • authentication;

  • encryption;

  • secure communications;

  • monitoring;

  • backups;

  • system updates;

  • security controls; and

  • restricted administrative access.

No internet-based service or electronic storage system can guarantee absolute security.

Users and Merchants are also responsible for maintaining the confidentiality and security of their credentials and devices.

14. Your Privacy Rights

Depending on your location and applicable law, you may have rights concerning your personal information, potentially including the right to:

  • request access to personal information;

  • request correction of inaccurate information;

  • request deletion;

  • restrict certain processing;

  • object to certain processing;

  • withdraw consent;

  • request portability of eligible information;

  • opt out of certain marketing; and

  • lodge a complaint with an appropriate privacy or data-protection authority.

These rights are not absolute and may be subject to legal exceptions.

Where PEBS processes information solely on behalf of a Merchant, we may direct a request to the relevant Merchant or assist that Merchant in responding.

We may need to verify your identity before completing certain privacy requests.

15. Merchant Privacy Responsibilities

Merchants using Eateries are responsible for their own privacy practices.

Where a Merchant collects Customer, employee, driver or other personal information using Eateries, the Merchant must:
